This website (the “Site”) is owned, operated and maintained by DFO TeleHealth LLC, a Delaware limited liability company (“DFO TeleHealth”, “we”, “our”).
 By visiting or browsing the Site, you (“you,” or “your”) affirm that you have read, understood, and agree to be legally bound by these Terms of Use (“
Terms”). If you do not agree, you must not use the Site, platform, or any Site’s content. You further represent that you are at least the age of majority in your state or country of residence and have the legal capacity to enter into these Terms.
DFO TeleHealth transmits user contact information to Providers solely for the purpose of initiating direct communication between the user and the Provider. We do not access, store, or process any medical information or communications exchanged thereafter. All clinical communications occur directly between you and the Provider outside of our systems.
1. Our Site DFO TeleHealth operates this Site solely as a marketing and technology platform. We do not manufacture, sell, ship, fulfill, or set prices for products, nor do we provide healthcare services or medical advice. All products, services, and related content displayed on the Site are offered exclusively by independent  licensed healthcare professional providers (“Providers”). DFO TeleHealth is not a medical group, provider of medical services, pharmacy, seller of record for any products or services offered through the Site, or payment processor. Any transaction you make, payment processing you access, or medical service, prescriptions, or products you receive are provided exclusively by third party Providers under separate agreements between you and those parties. DFO TeleHealth is not a party to those transactions and disclaims all liability arising from them. DFO TeleHealth does not control or supervise those third-party services.
All product descriptions, risk disclosures, and promotional claims are authored by independent Providers. DFO TeleHealth does not verify, endorse, or guarantee the accuracy, truthfulness, or legality of such content and is not the publisher or speaker of any Provider’s content. Providers are solely responsible for ensuring that their claims comply with applicable FDA and FTC advertising standards, including the requirement to present a fair balance of risks and benefits.
 2. Not for Emergencies 
ClockwiseMD does not provide emergency or urgent care. If you believe you are experiencing an emergency (e.g., chest pain, difficulty breathing, uncontrolled bleeding, thoughts of self‑harm), call your local emergency number or go to the nearest emergency department immediately.
We may cancel or redirect visits that indicate an emergency and direct you to call 911 or go to the nearest emergency department.

3. User Location and Provider Licensing 
The Site and services are intended for users located in the United States. We do not offer goods or services to individuals in the EU or UK. If you access the Site or services from outside the United States, you are responsible for compliance with local laws. DFO TeleHealth does not represent or warrant that the services are lawful or appropriate for use outside the United States. We verify your location at time of service and document it in the encounter record.
By using this Site, you represent and warrant that you are physically located in the United States, or in a U.S. territory, at the time you access services, and that this location is verified by the Site at the time of the encounter. Care is available only when you are physically located in a state where your Provider is licensed at the time of the encounter. Location is verified at each visit. Providers will deliver services only to users who are located in states or territories where the Providers are duly licensed to practice at the time of the encounter. Services may be unavailable in certain states or territories, and DFO TeleHealth makes no guarantee that services will be accessible in your location.
After an appropriate telemedicine encounter, Providers may issue prescriptions based on their independent clinical judgment. Certain drugs, including controlled substances, may not be prescribed via telehealth. Prescriptions are provided solely in compliance with applicable laws and regulations where the Provider is licensed. Prescriptions are issued only after a valid patient-provider relationship is established via an appropriate telehealth encounter and in compliance with federal and state law, including the Ryan Haight Online Pharmacy Consumer Protection Act. Certain controlled substances will not be prescribed via telehealth.
Clinical services are intended for adults unless expressly stated otherwise in these Terms. If services for children are offered, a parent or legal guardian must give consent and be involved during the use of the services, as the law requires. The Site is not intended for children under 13, and no portion of the service is directed toward minors. We do not knowingly collect information from anyone under 13 years old.
4. Telehealth Consent Requirement. 
Before participating in any telehealth service, you must review and accept a separate Telehealth Consent, which describes the nature of telehealth services, the technology used, potential limitations, risks, and alternatives to telehealth, as well as privacy and security considerations. By accepting the Telehealth Consent, you agree to provide your written consent to proceed with telehealth serviceS.
5. Compliance Obligations 
We will use commercially reasonable efforts to comply with all material applicable laws and regulations, including but not limited to the Health Insurance Portability and Accountability Act (HIPAA), the Federal Trade Commission (FTC) Act, the CAN‑SPAM Act, the Telephone Consumer Protection Act (TCPA), telehealth advertising rules, and other relevant state and federal laws and to require that Providers represent and warrant compliance with such laws and regulations, including FDA and FTC healthcare advertising requirements. DFO TeleHealth does not independently verify Provider compliance and disclaims liability for any non-compliance by Providers.
6. Intake Forms and Health-Related Information 
The Site may allow you to complete intake forms or answer health-related questions. Any information you provide through such forms is transmitted directly to the Provider you select or its affiliated medical group. DFO TeleHealth does not review, edit, monitor, or provide medical advice or respond to clinical content entered in these forms. All diagnoses, prescriptions, or treatment decisions are made solely by Providers, not by DFO TeleHealth.
Any mention of prescription products on marketing or intake pages will appear with prominently displayed FDA-required risk information and Rx-only status, adjacent to the claim.
7. Marketing Content 
All clinical and promotional claims presented on the Site are created and provided by the Providers or their medical groups. Providers are solely responsible for the accuracy and legality of such claims, including compliance with applicable laws requiring fair balance of benefits and risks for prescription products. Any mention of prescription products on marketing or intake pages will appear with prominently displayed FDA-required risk information and Rx-only status, adjacent to the claim.
DFO TeleHealth reserves the right to remove or disable any marketing content at any time. DFO TeleHealth may require Providers to supply substantiation for any clinical or promotional claim.
Testimonials do not guarantee results. Typical results, material factors, and risk information must be displayed proximate to any outcome claim.
DFO TeleHealth reserves the right, but not the obligation, to monitor, remove, or disable access to any Providers’ content or user submissions that we determine, in our sole discretion, to be misleading, unlawful, non-compliant with our policies, or otherwise harmful. This does not create an obligation to monitor all content.
8. Products & Supplement Disclaimers 
The Site may display dietary supplement offerings from third-party Providers. Supplements are not drugs and are not intended to diagnose, treat, cure, or prevent any disease. Statements about supplements have not been evaluated by the Food and Drug Administration (FDA).
All supplement labels, instructions, warnings, and ingredients are provided by the Provider. You are responsible for reading and following the Provider’s instructions. Use is at your own risk, and DFO TeleHealth disclaims any liability related to supplement use. Always consult a qualified healthcare professional before using any supplement, especially if pregnant, nursing, taking medication, or managing a medical condition. DFO TeleHealth does not author, verify, or endorse any claims related to supplements, prescription medicines, or other health products. Such claims are the sole responsibility of Providers and must comply with applicable law.
Supplements may interact with prescription medicines, including GLP-1 agonists and TRT. Always consult a clinician.
9. Eligibility; Accounts; Availability 
You must be at least the age of majority in your state or country to use the Site. You agree to provide accurate registration and contact information and to safeguard your account credentials.
You are fully responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify DFO TeleHealth immediately if you suspect any unauthorized activity on your account. DFO TeleHealth may suspend or terminate accounts to protect security.
10. Third-Party Transactions 
DFO TeleHealth is not the seller of record, pharmacy, healthcare provider, or payment processor. All questions or disputes regarding billing, shipping, refunds, or product performance must be directed to the applicable Providers. Returns and refunds for products are handled by the dispensing pharmacy or product seller shown at checkout in accordance with their own policies.
Payments for services are processed by independent third-party payment processors under their own terms of services and privacy policies. DFO TeleHealth is not a party to those transactions and does not control or assume responsibility for them.
Refunds, chargebacks, and complaints relating to clinical services or prescriptions are handled under the refund and complaint policies of the relevant Provider or pharmacy. For more information, please see Provider or pharmacy refund and complaint policies on their official websites.
11. Communications & Marketing Consent 
By affirmatively checking a consent checkbox, you provide your prior express written consent to receive recurring automated marketing text messages and calls from DFO TeleHealth at the number you provide. Giving consent is not required to make a purchase. Messages are sent by DFO TeleHealth. Frequency may vary. Your mobile carrier’s message and message/data rates may apply. You can text HELP for help, text STOP to cancel at any time or contact us via email below.
If a Provider will send marketing texts or calls, the Provider must obtain its own TCPA consent or be expressly named in the consent disclosure.
All marketing emails will include DFO TeleHealth’s physical mailing address in the footer and a one-click unsubscribe. Requests are honored within 10 business days

12. Service Availability and Maintenance 
DFO TeleHealth may limit, suspend, or terminate access to the Site or any services at any time for maintenance, to comply with applicable law, or to protect users and the integrity of the system.
13. Data & Privacy 
Your data will be collected, used, stored, and disclosed in accordance with DFO TeleHealth Privacy Policy. DFO TeleHealth is not a HIPAA covered entity. DFO TeleHealth acts as a HIPAA business associate only when a Business Associate Agreement is executed with a covered entity. Absent a Business Associate Agreement (“BAA”), do not send PHI to us. If PHI is inadvertently received, DFO will take reasonable steps to delete, de-identify, or return it promptly. To the extent DFO provides services to a HIPAA-covered provider, our obligations will be limited to those required under a separate written BAA. To the extent DFO TeleHealth collects consumer health information not covered by HIPAA, we comply with the FTC Health Breach Notification Rule and applicable state privacy laws.
When acting as a business associate, DFO TeleHealth will notify the covered entity without unreasonable delay and no later than 60 days after discovery. The covered entity will notify affected individuals unless the BAA expressly delegates that duty to DFO TeleHealth.
We may use aggregated, de-identified data to improve our services, benchmark industry performance, and conduct analytics, provided that no individual is identified.
The Site may use cookies and similar technologies for analytics and advertising. They may collect information about your visits to this website and usage. If consumer health data laws consider this kind of tracking to be sensitive, DFO TeleHealth will obtain your consent before enabling such technologies. Users may manage your cookies through the Site’s preference center. DFO TeleHealth does not disclose PHI to third party analytics or advertising platforms. Tracking technologies are disabled on authenticated pages and on any page that collects health information unless we have a BAA with the vendor or the data is de-identified per HIPAA.
DFO TeleHealth employs administrative, technical, and physical safeguards to protect information. These safeguards include encryption in transit and at rest where applicable, access controls, logging, and vendor due diligence. While no system can guarantee absolute security, DFO TeleHealth maintains reasonable and appropriate measures to protect data against unauthorized access, use, or disclosure.
DFO TeleHealth retains data in accordance with legal, regulatory, and contractual requirements. Where permitted by law and contract, users may request deletion of data.
California residents have the right to know, delete, correct, opt out of sale or sharing, and limit use of sensitive personal information. Submit requests at 
privacy@dfotelehealth.com. We verify requests and respond within forty five (45) days, extendable once. We honor Global Privacy Control signals for California opt outs.
For EU/UK data we rely on Standard Contractual Clauses and supplementary measures for transfers to the U.S.
HIPAA, Consumer Health Data, and Privacy 
DFO TeleHealth may act as a business associate only when DFO TeleHealth is required to execute a written BAA with a covered entity under applicable law. When acting as a business associate, DFO TeleHealth will comply with HIPAA and the applicable BAA. When acting as a business associate we access only the minimum necessary PHI to perform services, such as appointment metadata and secure routing information. We do not access clinical notes, diagnoses, or prescription content unless expressly required by the BAA.
HIPAA obligations are governed exclusively by a separate written BAA with the covered entity. If no BAA exists, DFO TeleHealth will not accept, use, or disclose protected health information (“PHI”) for covered functions.
When acting as a business associate, DFO TeleHealth may have access to limited PHI, such as scheduling information, encounter records, and communications necessary to connect you and the Providers. DFO TeleHealth uses, discloses, and protects PHI solely as permitted by the applicable BAA and HIPAA, and only to the minimum extent necessary to perform its obligations.
If DFO TeleHealth discovers a breach of unsecured PHI while acting as a business associate, it will provide notification without unreasonable delay and in no case later than 60 calendar days after discovery, in accordance with 45 C.F.R. Part 164, Subpart D.
To the extent DFO TeleHealth collects consumer health data that is not subject to HIPAA, it will comply with the Federal Trade Commission’s Health Breach Notification Rule and with applicable state consumer health data and privacy laws, including rights to access, delete, or opt out where required.
To the extent we handle ‘medical information’ as defined by California’s CMIA outside HIPAA scope, we will comply with CMIA confidentiality and breach obligations
DFO TeleHealth does not collect, retain or sell PHI or consumer health data for advertising purpose. DFO TeleHealth does not share such information for targeted advertising without your express written consent, where required by law. We may share personal information for cross-context behavioral advertising only with your opt-in consent. California residents can opt out at ‘Do Not Sell or Share My Personal Information’ and can ‘Limit the Use of My Sensitive Personal Information.’ We honor Global Privacy Control signals
If you suspect a data security incident, please contact DFO TeleHealth at 
privacy@dfotelehealth.com. Do not include PHI or other sensitive data in such emails.
If DFO TeleHealth becomes a HIPAA-covered entity for any service, you will have the rights given by HIPAA, including the right to access your PHI, request an amendment, and receive an accounting of disclosures. For more information about these rights, please review DFO TeleHealth Privacy Policy.
DFO TeleHealth uses vetted vendors and subprocessors to provide the Site and services. A current list of subprocessors is available upon request or posted on the Site. Subprocessors that handle PHI are bound by written agreements requiring HIPAA compliance, where applicable.
If there is a conflict between these Terms and a BAA or a medical group’s notice of privacy practices, the document that provides stronger privacy or security protections for PHI will govern with respect to PHI.

This Notice is provided pursuant to the California Consumer Privacy Act (as amended by the CPRA). It explains the categories of personal information we collect, the purposes for which we use it, our retention practices, and your rights to opt out.

14. User Content & Reviews

You represent you have rights to the contents and that it does not infringe others’ rights or include unlawful material.
15. Intellectual Property 
All Site’s content (excluding third-party product descriptions or Providers’ content) is owned by DFO TeleHealth or its licensors. You may not copy, modify, distribute, or display Site materials except as expressly permitted.
Copyright Complaints 
If you believe content on the Site infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to:

16. Prohibited Uses 
You must not misuse the Site or services provided via the Site to:
(a) misrepresent your identity;
(b) scrape, harvest, or misuse data;
(c) upload malware;

(e) resell or divert products;
(f) harass or abuse staff, Providers, or other users;
(g) creating or attempting to create a false provider–patient relationship;
(h) attempting to misuse prescriptions, diverting medications; or
(i) attempting to obtain medications without a valid clinical encounter.
17. Disclaimers 
Except where prohibited by law, the Site and all content delivered or made available to you through the Site are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of title, merchantability, fitness for a particular purpose, and non-infringement. Nothing in this section limits DFO TeleHealth’s liability for fraud, intentional misconduct, gross negligence, or violations of applicable laws or other non-waivable statutory rights.
DFO TeleHealth does not guarantee, and expressly disclaims any warranty, that your use of the Site or any content delivered to you will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant that the results that may be obtained from the use of the Site or any content delivered to you will be accurate, complete, reliable, or meet your expectations.
Your use of the Site and any content delivered to you is at your sole risk. By using the Site or any content delivered to you, you knowingly and voluntarily waive, to the fullest extent permitted by law, any and all claims against DFO TeleHealth, its affiliates, officers, employees, and agents arising out of or relating to your use of the Site or any content delivered to you.
Although we do our best to keep the Site and product details accurate, we make no representations, warranties, or guarantees whatsoever as to the correctness or accuracy of the Site, product descriptions, or other content on the Site. The Site may sometimes have errors, typos, or outdated information, and third parties could make unauthorized changes.
Medical Disclaimer. ClockwiseMD is a marketing platform. DFO TeleHealth is not a medical group and does not provide medical advice, diagnosis, prescriptions, or care through the Site. All healthcare services promoted through the Site are provided solely by Providers. DFO TeleHealth does not own, operate, or control any medical practice, provider, or clinic. Any healthcare services relating to GLP-1 weight loss, testosterone replacement therapy (TRT), hair loss treatments, or men’s health (including Sildenafil and Tadalafil) that are promoted through the Site are provided exclusively by Providers. DFO TeleHealth is not responsible for, and makes no warranties or representations about, the quality, legality, accuracy, or results of any medical services, advice, prescriptions, or care provided by those Providers. Marketing content on the Site is provided by Providers, is for promotional and informational purposes only, and has not been reviewed or approved by DFO TeleHealth. Providers are responsible for supplying FDA-mandated labeling, including risk information, and you should review it carefully before starting any treatment. You should always seek the advice of a qualified healthcare provider with any questions about a medical condition, and you should never disregard or delay seeking professional medical advice because of marketing materials or offers you see on our platform.
Information about GLP-1 therapies, testosterone replacement therapy (TRT), men’s health products, or similar treatments is provided for general knowledge only. Results can vary from person to person and are never guaranteed. Before starting any treatment, you should talk with a licensed clinician about potential risks, side effects, and alternatives. Any mention of a brand or product should always be understood as a balanced presentation of both possible benefits and risks.
Information about dietary supplements is provided by the prescribing or recommending provider. These supplements have not been evaluated by the U.S. Food and Drug Administration, and they are not intended to diagnose, treat, cure, or prevent any disease. Always read the product labels and warnings carefully. Because supplements may interact with other medications, you should consult a licensed clinician before starting or combining them with any other treatment.
18. Limitation of Liability 
To the fullest extent permitted by law, DFO TeleHealth will not be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, lost revenue, lost savings, loss of data, replacement costs, or similar losses, whether based in contract, tort (including negligence), strict liability, or otherwise, even if DFO TeleHealth has been advised of the possibility of such damages. To the fullest extent permitted by applicable law, our total cumulative liability to you for all claims arising out of these Terms shall not exceed the greater of USD $500 or the amount you paid directly to DFO TeleHealth (if any) in connection with Site use. This limitation does not apply to liability arising from (a) any breach of confidentiality or data protection obligations, including HIPAA; (b) our intentional misconduct or fraud; or (c) your indemnification obligations under these Terms.
Certain jurisdictions do not allow the exclusion or limitation of certain damages. Accordingly, the limitations in this section apply only to the extent permitted by law. Nothing in this section limits liability for violations of HIPAA, intentional misconduct, or other non-waivable obligations under applicable law.
19. Indemnification 
Except for claims arising from DFO TeleHealth’s own gross negligence, willful misconduct, data security failures, or HIPAA violations, you agree to indemnify, defend, and hold harmless DFO TeleHealth, its parent company, subsidiaries, affiliates, licensors, and each of their respective directors, officers, employees, owners, and agents from and against any and all third-party claims, demands, actions, losses, liabilities, damages, judgments, settlements, costs, and expenses—including reasonable attorneys’ fees and court costs—arising out of or related to (a) your use of the Site, (b) your breach of these Terms, and/or (c) your violation of any law or the rights of a third party.

DFO TeleHealth is committed to providing a website that is accessible to all users, including individuals with disabilities. We strive to follow the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA standards and regularly review our sites to improve usability and accessibility.

21. Governing Law & Dispute Resolution 
These Terms are governed by, and construed in accordance with, the laws of the State of Delaware, without regard to its conflicts of laws principles. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
Any dispute arising out of or relating to these Terms will be resolved by binding arbitration, under the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted virtually or in a mutually agreed location. All arbitration will be on an individual basis; you waive the right to participate in class actions or representative proceedings.
You may opt out of this arbitration agreement by sending written notice to 
support@dfotelehealth.com within thirty (30) days of first accepting these Terms. Either party may bring an individual action in small claims court for disputes within the scope of that court’s jurisdiction.
This arbitration agreement does not waive your right to seek public injunctive relief in court to the extent such waiver is not permitted under California law. Either party may seek interim or injunctive relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information, without waiving the right to arbitrate all other claims.
If the class-action waiver is held unenforceable as to any claim, such claim shall proceed in court, but the arbitration clause will otherwise remain in full force for all other claims. The exclusive venue for any court proceedings will be the state or federal courts located in Delaware, and you consent to their jurisdiction. If any part of this arbitration agreement is found invalid or unenforceable, the remaining portions shall remain valid, enforceable, and given full effect to the maximum extent permitted by law.
22. Miscellaneous 
These Terms constitute the entire agreement and understanding between you and DFO TeleHealth, and supersede and replace all prior or contemporaneous agreements, understandings, and representations, whether written or oral, relating to their subject matter.
DFO TeleHealth may update or modify these Terms at any time. Any changes will be effective upon posting, and your continued use of the Site after the effective date of such changes constitutes your acceptance of the updated Terms. These Terms include a revision date at the top. For transparency, we will maintain a short change log of material updates to these Terms. For material changes, DFO TeleHealth will provide a notice banner on the Site.
If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permissible under law, and the unenforceable portion will be deemed severed without affecting the validity or enforceability of the remaining provisions. The following provisions of these Terms shall survive any termination or expiration of these Terms: 1, 3, 4, 5, 7, 8, 9, 10, 11, 13 to 21.
Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, franchise, employment, or any other relationship between you and DFO TeleHealth. The failure of either party to enforce any right or provision under these Terms will not be deemed a waiver of such right or provision.

Complaints regarding clinical care or prescribing are handled by the applicable medical group or pharmacy, and users will be directed to that entity’s grievance process. Complaints about the platform, technology, or non-clinical services are handled by DFO TeleHealth, which may be contacted at
